Confidentiality

a) |
3D Jewelry Creations agrees to hold all information that is communicated to us by our customers in strict confidence; to not use the Confidential Information for our own benefit or the benefit of others, except for the Business Purpose or as may be otherwise authorized in writing by our customers; and not to disclose, distribute or disseminate the Confidential Information or documents or information derived therefrom in any way to any third party, except its respective employees, agents, consultants and independent contractors having a specific need to |

know in performance of their work for the recipient party and who have been informed of the recipient party's obligations under this Agreement and have agreed to be bound thereby.
3D Jewelry Creations shall take steps no less rigorous than those we take to protect our own proprietary information, but in any event no less than reasonable means, to prevent the disclosure and to protect the confidentiality of the Confidential Information. |

b) |
Without limitation of the foregoing, "Confidential Information" shall mean and include all nonpublic, confidential, or proprietary information, including, but not limited to, the e-mail addresses, designs, contact information, cost and expense information, trade |
|
secrets, confidential processes and technology, and other information of that the customer has not made generally available to persons outside of 3D Jewelry Creations. |

c) |
Notwithstanding the above, Confidential Information shall not include information which is already known by 3D Jewelry Creations without an obligation of confidentiality; publicly known or becomes publicly known through no unauthorized act of the recipient party; disclosed to 3D Jewelry Creations by a third party not in violation of any obligations of confidentiality to the disclosing part; or is required to be disclosed pursuant to a requirement of a governmental agency.

Return of Confidential Information: Upon termination of good business relations, 3D Jewelry Creations will destroy all Confidential Information including all e-mail addresses, e-mail messages and designs held in our customer's account. It will be the customer's responsibility to request copies of the Confidential Information before asking 3D Jewelry Creations to terminate their services. |
